Gummiprofile aus PRODENE thermoplastichen Elastomeren sind für die Allge- meinindustrie, den Lebensmittelsektor und das Baugewerbe entworfen.
PRODENE thermoplastische Elastomere entsprechen Anforderungen aus CSTB & RAL-GZ (Bauindustrie), je nach Werkstoff den Normen FDA & CE 2002 (Lebensmittleindustrie) und aus Brandschutz Norm EN13501 (Bau), EN 45545 (Verkehr) & UL94Vo
PRODENE 15shore A- 45shoreD Elastomere bieten ausgezeichnete Bestän- digkeit gegenüber Witterungseinflüssen und Ultravioletten Strahlen, gute Be- ständigkeit gegenüber Säuren und Basen, Ölspritzer, wieder holte Verdrehun- gen, von -40°C bis +110°C.
PRODENE thermoplastische Elastomere können gemäβ einer Liste von 63 Färbungen oder auf Nachfrage des Kunden gefärbt werden.
Farben können sein : matt , transluzent, glänzend oder auch phosphoreszie- rend & fluoreszierend.

Prodex extrudes thermoplastic rubber elastomer profiles with SEBS kind, PP- EPDM (Santoprene) in a hardness range from 15 shore A to 45 shore D.
Our elastomers all comply with REACH RoHS regulations and can comply with EC or FDA food contact regulations, building standards CSTB & RAL-GZ, as well as fire and smoke standards: EN 13501 (building), EN 45545 (transport) and UL94Vo (electric fire in device & appliance).
PRODENE thermoplastic elastomer rubbers can be colored according to a list of 63 standard Prodex shades or according to the customer's request (RAL, PANTONE, etc ...).
The colors can be matt, translucent, metallic, fluorescent or phosphorescent.
The profile can be co-extruded to provide multi-hardness or multi-color pro- files for example :
- 2-3 different materials - 2-3 hardnesses - Compact / foam
Several foam qualities (black, white or colored) are available as standard in
different densities.
In Zusammenarbeit mit Ihren Zeichenbüro definieren wir Ihre Anwendungsanforderungen. Entsprechend Ihrer Bestel- lung senden wir Ihren eine Zeichnung, nach deren Annahme Ihrerseits wir mit der Werkzeugherstellung beginnen.
Wir verfügen über eine eigene Werkzeugabteilung und sind deshalb in der Lage, Prototypen innerhalb von 8-10 Tage zu realziren.
In unserer Werkzeugabteilung werden Ihre Profile nach Ihren Montageanforderungen angepasst.

ARTICLE 1 - Champ d'application
Les présentes conditions générales de vente ont pour objet de définir les conditions dans lesquelles la société PRODEX fabrique et fournit aux acheteurs (« Les Acheteurs ou l'Acheteur ») qui lui en font la demande, des Caoutchoucs Thermoplastiques Elastomères (« Les Produits »).
Elles s'appliquent sans restriction ni réserve à toutes les ventes conclues par PRODEX auprès des Acheteurs, quelles que soient les clauses pouvant figurer sur les documents de l'Acheteur, et notamment ses conditions générales d'achat.
Conformément à la réglementation en vigueur, ces Conditions Générales de Vente sont systémati- quement communiquées à tout Acheteur qui en fait la demande, pour lui permettre de passer commande auprès de PRODEX.
Toute commande de Produits implique, de la part de l'Acheteur, l'acceptation des présentes Condi- tions Générales de Vente.
Les renseignements figurant sur les catalogues ou le site internet de PRODEX sont donnés à titre indicatif et sont révisables à tout moment.
Conformément à la réglementation en vigueur, PRODEX se réserve le droit de déroger à certaines clauses des présentes Conditions Générales de Vente, en fonction des négociations menées avec l'Acheteur, par la détermination de conditions spécifiques dans le devis proposé et accepté.
ARTICLE 2 - Commandes - Tarifs
Les ventes de Produits ne sont parfaites qu'après acceptation expresse et par écrit de la commande de l’Acheteur, matérialisée par un accusé de réception émanant de PRODEX ou acceptation du devis par l’Acheteur.
L’Acheteur sera seul responsable des informations fournies pour l’établissement de la commande ou du devis, notamment les plans ou cotes nécessaires et devra informer sans délai PRODEX de toute modification de ces éléments.
Aucune responsabilité de PRODEX ne pourra découler de la fourniture de plans ou cotes erronés.
La prise en compte de la commande et l'acceptation de celle-ci sont confirmées par l'envoi d'un email.
Les données enregistrées dans le système informatique de PRODEX constituent la preuve de l'ensemble des transactions conclues avec le Client.
Les éventuelles modifications demandées par l'Acheteur ne pourront être prises en compte, dans la limite des possibilités de PRODEX et à sa seule discrétion, que si elles sont notifiées par écrit 24 heures au plus tard après l’accusé de réception de la commande par PRODEX et le cas échéant après établissement d’un nouveau devis.
En cas d'annulation de la commande par l'Acheteur après son acceptation par PRODEX, pour quelque raison que ce soit hormis la force majeure, l'acompte versé à la commande, sera de plein droit acquis à PRODEX et ne pourra donner lieu à un quelconque remboursement.
Les produits sont fournis aux tarifs de PRODEX en vigueur au jour de la passation de la commande, et, le cas échéant, dans le devis adressé à l'Acquéreur. Ces tarifs sont fermes et non révisables pendant leur période de validité, telle qu'indiquée sur le devis.
Ces tarifs incluent, le cas échéant, une participation aux frais d’outillage de PRODEX pour la con- ception des outils de fabrication des Produits. En cas de rachat par le Client de desdits outils de fabrication élaborés pour les besoins de sa commande, l’intégralité des frais d’outillage sera factu- rée.
Ces prix sont nets et HT, Ex-Works. Ils ne comprennent pas le transport, ni les frais de douane éventuels et les assurances qui restent à la charge de l'Acheteur.
ARTICLE 3 - Conditions de paiement
Un acompte correspondant à 30 % du prix total d'acquisition des Produits susvisés peut être exigé lors de la passation de la commande selon les indications du devis.
Le solde du prix est payable au comptant, au jour de la livraison, ou à 45 jours émission de factures selon les indications du devis de PRODEX.
PRODEX ne sera pas tenue de procéder à la livraison des produits commandés par l'Acheteur si celui-ci ne lui en paye pas le prix dans les conditions et selon les modalités ci-dessus indiquées.
En cas de retard de paiement et de versement des sommes dues par l'Acheteur au-delà du délai ci- dessus fixé, et après la date de paiement figurant sur la facture adressée à celui-ci, des pénalités de retard égales à une fois et demi le taux de l’intérêt légal calculé sur le montant TTC du prix figurant sur ladite facture, seront automatiquement et de plein droit acquises à PRODEX, sans formalité aucune ni mise en demeure préalable.
En outre le défaut de paiement entraînera l'exigibilité immédiate de toutes sommes dues à PRO- DEX par l’Acheteur, sans préjudice de toute autre action que PRODEX serait en droit d'intenter, à ce titre, à l'encontre de l'Acheteur.
En cas de non respect des conditions de paiement figurant ci-dessus, PRODEX se réserve en outre le droit de suspendre ou d'annuler la livraison des commandes en cours de la part de l'Acheteur.
Enfin, une indemnité forfaitaire pour frais de recouvrement, d'un montant de 40 euros sera due, de plein droit et sans notification préalable par l'Acheteur en cas de retard de paiement. PRODEX se réserve le droit de demander à l'Acheteur une indemnisation complémentaire si les frais de recou- vrement effectivement engagés dépassaient ce montant, sur présentation des justificatifs.
PRODEX se réserve, jusqu'au complet paiement du prix par l'Acheteur, un droit de propriété sur les produits vendus, lui permettant de reprendre possession desdits produits.
Tout acompte versé par l'Acheteur restera acquis à PRODEX à titre d'indemnisation forfaitaire, sans préjudice de toutes autres actions qu'il serait en droit d'intenter de ce fait à l'encontre de l'Acheteur.
Aucun escompte ne sera pratiqué par PRODEX pour paiement avant la date figurant sur la facture dans un délai inférieur à celui mentionné aux présentes Conditions Générales de Vente.
ARTICLE 4 – Livraisons
Les Produits acquis par l'Acheteur seront expédiés dans un délai maximum indiqué par PRODEX sur le devis ou lors de l’acceptation de la commande.
Ce délai ne constitue pas un délai de rigueur et PRODEX ne pourra voir sa responsabilité engagée à l'égard de l'Acheteur en cas de retard de livraison.
La responsabilité de PRODEX ne pourra en aucun cas être engagée en cas de retard ou de sus- pension de la livraison imputable à l'Acheteur ou en cas de force majeure.
En tout état de cause, la livraison ne pourra intervenir que si le client est à jour de ses obligations à l’égard de PRODEX.
La livraison sera par la délivrance dans les locaux de PRODEX, à un expéditeur ou transporteur choisi par cette dernière, sauf accord contraire écrit des parties. Les produits voyageant aux risques et périls de l'Acheteur.
L'Acheteur est tenu de vérifier l'état apparent des produits lors de la livraison. A défaut de réserves expressément émises par l'Acheteur lors de la livraison, les Produits délivrés par PRODEX seront réputés conformes en quantité et qualité à la commande.
Pour rappel, pour que les réserves soient acceptables par le transporteur, le réceptionnaire doit ouvrir les colis et mentionner par écrit les problèmes constatés sur les produits. Une réserve unique- ment portée sur l’emballage n’est pas valable.
L'Acheteur disposera d'un délai de 48 heures à compter de la livraison et de la réception des pro- duits commandés pour émettre, par écrit, de telles réserves auprès de PRODEX.
PRODEX remplacera dans les plus brefs délais et à ses frais, les Produits livrés dont le défaut de conformité aura été dûment prouvé par l'Acheteur et accepté par PRODEX.
ARTICLE 5 - Transfert de propriété - Transfert des risques
Le transfert de propriété des Produits, au profit de l'Acheteur, ne sera réalisé qu'après complet paiement du prix par ce dernier, et ce quelle que soit la date de livraison desdits Produits.
Le transfert à l'Acheteur des risques de perte et de détérioration des produits sera réalisé dès livraison et réception desdits produits, indépendamment du transfert de propriété, et ce quelle que soit la date de la commande et du paiement de celle-ci.
L'Acheteur reconnaît que c'est au transporteur qu'il appartient d'effectuer la livraison, PRODEX étant réputé avoir rempli son obligation de délivrance dès lors qu'il a remis les produits commandés au transporteur qui les a acceptés sans réserve. L'Acheteur ne dispose donc d'aucun recours en garantie contre PRODEX en cas de défaut de livraison des Produits commandés ni des dommages survenus en cours de transport ou de déchargement.
L'Acheteur s'oblige, en conséquence, à faire assurer, à ses frais, les produits commandés, par une assurance ad hoc, jusqu'au complet transfert de propriété.
ARTICLE 6 - Responsabilité de PRODEX - Garantie
Les produits livrés par PRODEX bénéficient d'une garantie couvrant la non-conformité des produits à la commande et tout vice caché, provenant d'un défaut de matière, de conception ou de fabrica- tion affectant les produits livrés et les rendant impropres à l'utilisation.
La garantie forme un tout indissociable avec le Produit vendu par PRODEX. Le Produit ne peut être
vendu ou revendu altéré, transformé ou modifié.
Cette garantie est limitée au remplacement ou au remboursement des produits non conformes ou affectés d'un vice après acceptation préalable par PRODEX.
Toute garantie est exclue en cas de fourniture par l’Acheteur de plans, cotes ou mesures erronés.
De même la garantie est exclue en cas d’inadéquation du produit à la fabrication ou l’incorporation dans un produit fini, l’Acheteur étant seul responsable de l’usage qu’il fait du produit après avoir pris connaissance des spécifications techniques fournies par PRODEX.
La garantie ne peut intervenir si les Produits ont fait l'objet d'un usage anormal, ou ont été employés dans des conditions différentes de celles pour lesquelles ils ont été fabriqués, en particulier en cas de non-respect des conditions prescrites dans la notice d'utilisation.
L’Acheteur est parfaitement informé à cet égard que les conditions d’utilisation des Produits indi- quées par PRODEX sont conformes aux normes applicables à la date de livraison des Produits et que PRODEX ne saurait être tenue responsable d’une évolution des normes postérieure à celle-ci.
PRODEX se réserve le droit de modifier les composants ou éléments du Produit en fonction de ses propres contraintes ou nécessités.
Le Client reconnait être parfaitement informé que les Produits vendus par PRODEX ne relèvent pas et ne sont pas couverts par la garantie décennale prévue par les dispositions du Code civil.
Afin de faire valoir ses droits, l'Acheteur devra, sous peine de déchéance de toute action s'y rappor- tant, informer PRODEX, par écrit, de l'existence des vices dans un délai maximum de 48 heures à compter de leur découverte.
PRODEX remplacera ou fera réparer les Produits ou pièces sous garantie jugés défectueux. Les frais de dépose et pose des Produits resteront à la charge du Client.
Les frais de retour des Produits non conformes ou affectés d'un vice resteront à la charge du client.
ARTICLE 7 - Propriété intellectuelle
PRODEX conserve l'ensemble des droits de propriété industrielle et intellectuelle afférents aux Produits, photos et documentations techniques qui ne peuvent être communiqués ni exécutés sans son autorisation écrite.
De même PRODEX pourra librement faire usage des plans élaborés par l’Acheteur ou pour l’Ache- teur, sauf accord contraire écrit.
Dans l’hypothèse ou le Client fournirait des modèles, dessins ou plan de conception pour l’outillage ou le Produit, il sera tenu de s’assurer que ceux-ci sont libres de tous droits et garantira PRODEX de toutes revendications émanant de tiers à ce sujet.
La responsabilité de PRODEX ne pourra être engagée dans le cadre de la fabrication et de la commercialisation par le client qui demeure seul responsable de la conformité de ses produits aux normes et réglementations, de la conformité de la fabrication et de la commercialisation des pro- duits dans ses relations avec les tiers. La responsabilité de PRODEX ne saurait être engagée dans tous les cas de réalisation de pièces faisant l’objet d’une éventuelle protection au titre de la proprié- té intellectuelle et industrielle et notamment de pièces brevetées ou de modèles déposés. Cette responsabilité incombe exclusivement au client qui s’engage à indemniser PRODEX de toute contestation émanant d’un tiers.
ARTICLE 8 - Données à caractère personnel
En application de la loi 78-17 du 6 janvier 1978 modifiée par la loi n°2018-493 du 20 juin 2018, il est rappelé que les données nominatives demandées au Client sont nécessaires au traitement de sa commande et à l'établissement des factures, notamment.
Ces données peuvent être communiquées aux éventuels partenaires de PRODEX chargés de l'exécution, du traitement, de la gestion et du paiement des commandes.
Le traitement des informations communiquées par l'intermédiaire du site internet répond aux exi- gences légales en matière de protection des données personnelles, le système d'information utilisé assurant une protection optimale de ces données.
Le Client dispose, conformément aux réglementations nationales et européennes en vigueur, d'un droit d'accès permanent, de modification, de rectification, d'opposition de portabilité et de limitation du traitement s'agissant des informations le concernant.
Ce droit peut être exercé dans les conditions et selon les modalités définies sur le site internet.
ARTICLE 9 - Imprévision
Les présentes Conditions Générales de Vente excluent expressément le régime légal de l'imprévi- sion prévu à l'article 1195 du Code civil pour toutes les opérations de Vente de Produits de PRO- DEX à l'Acheteur. PRODEX et l'Acheteur renoncent donc chacun à se prévaloir des dispositions de l'article 1195 du Code civil et du régime de l'imprévision qui y est prévu, s'engageant à assumer ses obligations même si l'équilibre contractuel se trouve bouleversé par des circonstances qui étaient imprévisibles lors de la conclusion de la vente, quand bien même leur exécution s'avèrerait excessi- vement onéreuse et à en supporter toutes les conséquences économiques et financières.
ARTICLE 10 - Exception d'inexécution
Il est rappelé qu'en application de l'article 1219 du Code civil, chaque Partie pourra refuser d'exécu- ter son obligation, alors même que celle-ci est exigible, si l'autre Partie n'exécute pas la sienne et si cette inexécution est suffisamment grave, c'est-à-dire, susceptible de remettre en cause la poursuite du contrat ou de bouleverser fondamentalement son équilibre économique. La suspension d'exécu- tion prendra effet immédiatement, à réception par la Partie défaillante de la notification de manque- ment qui lui aura été adressée à cet effet par la Partie victime de la défaillance indiquant l'intention de faire application de l'exception d'inexécution tant que la Partie défaillante n'aura pas remédié au manquement constaté, signifié par lettre recommandée avec demande d'avis de réception ou sur tout autre support durable écrit permettant de ménager une preuve de l'envoi.
Cette exception d'inexécution pourra également être utilisée à titre préventif, conformément aux dispositions de l'article 1220 du Code civil, s'il est manifeste que l'une des Parties n'exécutera pas à l'échéance les obligations qui lui incombent et que les conséquences de cette inexécution sont suffisamment graves pour la Partie victime de la défaillance.
Cette faculté est utilisée aux risques et périls de la Partie qui en prend l'initiative.
La suspension d'exécution prendra effet immédiatement, à réception par la Partie présumée défail- lante de la notification de l'intention de faire application de l'exception d'inexécution préventive jusqu'à ce que la Partie présumée défaillante exécute l'obligation pour laquelle un manquement à venir est manifeste, signifié par lettre recommandée avec demande d'avis de réception ou sur tout autre support durable écrit permettant de ménager une preuve de l'envoi.
ARTICLE 11 - Force majeure
Les Parties ne pourront être tenues pour responsables si la non-exécution ou le retard dans l'exécu- tion de l'une quelconque de leurs obligations, telles que décrites dans les présentes découle d'un cas de force majeure, au sens de l'article 1218 du Code civil.
ARTICLE 12 - Litiges
Tous les litiges auxquels le présent contrat pourrait donner lieu, concernant tant sa validité, son interprétation, son exécution, sa résolution, leurs conséquences et leurs suites seront soumis au tribunal de CHARTRES.
ARTICLE 13 - Droit applicable - Langue du contrat
De convention expresse entre les parties, les présentes Conditions Générales de Vente et les opérations d'achat et de vente qui en découlent sont régies par le droit français.
Elles sont rédigées en langue française. Dans le cas où elles seraient traduites en une ou plusieurs langues, seul le texte français ferait foi en cas de litige.
ARTICLE 14 - Acceptation de l'Acheteur
Les présentes conditions générales de vente ainsi que les tarifs et barèmes concernant les remises et ristournes ci-joints, sont expressément agréés et acceptés par l'Acheteur, qui déclare et reconnaît en avoir une parfaite connaissance, et renonce, de ce fait, à se prévaloir de tout document contra- dictoire et, notamment, ses propres conditions générales d'achat.
CONDITIONS GENERALES DE VENTE Gellainville, le 01/01/2019
ARTICLE 1 – Scope of application
The purpose of these terms and conditions of sale is to define the conditions pursuant to which the firm PRODEX manufactures and supplies Elastomer Thermoplastic Rubbers (“the Products”) to buyers (“the Buyer” or “the Buyers”) who request them from PRODEX.
They apply without restriction or reservation to all sales made by PRODEX to Buyers, regardless of the clauses that may appear in the Buyer’s documents and especially the Buyer’s general terms and conditions of purchase.
Pursuant to current regulations, these General Terms and Conditions of Sale are systematically made known to every Buyer that requests them, to enable it to place an order with PRODEX.
Every Product order entails the Buyer’s acceptance of these General Terms and Conditions of Sale.
The information that appears in PRODEX’s catalogues and on the company’s website is given for reference only, and can be revised at any time.
Pursuant to current regulations, PRODEX reserves the right to derogate from certain clauses of these General Terms and Conditions of Sale, based on negotiations with the Buyer, to determine specific clauses in the quote offered and accepted.
ARTICLE 2 – Orders - Tariffs
Products sales are only complete following express written acceptance of the Buyer’s order. That acceptance takes the form of an acknowledgement of receipt issued by PRODEX, or of the Buyer’s acceptance of the quote.
The Buyer shall bear sole liability for information provided for putting together the order or quote, in particular the necessary plans or dimensions, and must inform PRODEX without delay of any change to those items.
PRODEX cannot be held liable if erroneous plans or dimensions are provided.
Taking account of the order and accepting it are confirmed by an e-mail message being despatched.
The data recorded in PRODEX’s computer system are evidence of the entire set of transactions concluded with the Client.
Any modifications requested by the Buyer can only be taken into account, to the extent of PRO- DEX’s capacity and at its sole discretion, if they are made known in writing no later than 24 hours after PRODEX acknowledges receipt of the order and, where appropriate, after a fresh quote has been prepared.
If the Buyer cancels the order after PRODEX has accepted it, and regardless of the reason other than force majeure, PRODEX shall automatically retain the advance paid when the order is placed, and no reimbursement shall be due under any circumstances.
Products shall be supplied at PRODEX’s tariffs on the date on which the order is placed, and, where appropriate, in the quote addressed to the Buyer. Those tariffs are firm and shall not be revised during their period of validity, as indicated in the quote.
Where appropriate, those tariffs include a contribution to PRODEX’s tooling costs to designing the tools to make the Products. If the Client buys back the aforementioned manufacturing tools pro- duced for the purposes of the order, tooling costs shall be invoiced in full.
Prices are net, excluding VAT, and Ex-Works. They do not include transport, any customs duty, and insurance, for which the Buyer remains liable.
ARTICLE 3 – Payment terms
An advance of 30% of the total purchase price of the aforementioned Products can be required when the order is placed pursuant to the terms of the quote.
The balance of the price is payable in cash on the day of delivery or within 45 days of invoices being issued, pursuant to the terms of PRODEX’s quote.
PRODEX shall not be required to deliver products ordered by the Buyer if the latter does not pay PRODEX the price pursuant to the terms and conditions given above.
If there is a delay in making payment and in paying the amounts owed by the Buyer beyond the deadline set and after the payment date that appears in the invoice addressed to the latter, PRO- DEX shall, automatically and as of right, be entitled to delay penalties of one and a half times the legal interest rate, calculated on the amount including VAT of the price given in the aforesaid in- voice, without any formality or prior notice.
In addition, failure to make payment shall entail the immediate enforceability of all sums owed by the Buyer to PRODEX, without prejudice to any other action that PRODEX shall be entitled to take in that regard against the Buyer.
In the event of non-compliance with the payment terms given above, PRODEX also reserves the right to suspend or cancel the delivery of open orders placed by the Buyer.
Finally, a lump-sum indemnity for recovery costs in the amount of 40 euros shall be owed, as of right and without any prior notification by the Buyer in the case of delayed payment. PRODEX reserves the right to ask the Buyer for additional indemnity if recovery costs actually incurred exceed that amount, on presentation of supporting documents.
Until the Buyer pays the price in full, PRODEX reserves a right of ownership over the products sold such that it is entitled to resume possession of the said products.
Any advance paid by the Buyer shall be retained by PRODEX by way of a lump-sum indemnity, without prejudice to any other actions that PRODEX shall be entitled to take in that regard against the Buyer.
PRODEX will not apply any discount for payment before the date given in the invoice by a deadline before the one given in these General Terms and Conditions of Sale.
ARTICLE 4 – Deliveries
The Products acquired by the Buyer shall be despatched by a deadline that PRODEX indicates in the quote or when accepting the order.
The deadline is not a strict one, and PRODEX cannot be held liable towards the Buyer if the delivery is delayed.
PRODEX’s cannot be held liable in any case of delay or suspension affecting the delivery and attributable to the Buyer, or in a case of force majeure.
In any case, delivery can only be made if the client is up to date with respect to its obligations towards PRODEX.
Delivery shall take place by handover on PRODEX’s premises to a despatcher or haulier chosen by the latter, unless otherwise agreed in writing by the parties. Products are transported at the Buyer’s risk.
The Buyer is required to check the apparent condition of products on delivery. If the Buyer does not expressly make any reservations on delivery, the Products delivered by PRODEX shall be deemed compliant with the order in terms of quality and quantity.
As a reminder, for the transporter to be able to accept the reservations, the receiver must open the parcels and set out in writing the problems found with the products. A reservation that is only ex- pressed on the packaging is not valid.
The Buyer shall have a period of 48 hours from delivery and reception of the products ordered to issue such written reservations to PRODEX.
PRODEX shall replace delivered Products for which conformity defects have been duly proven by the Buyer and accepted by PRODEX, which shall carry out that replacement as soon as possible and at its own expense.
ARTICLE 5 – Transfer of ownership – Transfer of risks
The ownership of the Products shall be transferred to the Buyer only when the latter has paid the price in full, regardless of the delivery date of the said Products.
The risks of loss and wear and tear affecting the products shall be transferred to the Buyer on delivery and reception of the said products independently of the transfer of ownership, and regard- less of the date of the order and payment being made for the order.
The Buyer acknowledges that the haulier is liable for making delivery. PRODEX is deemed to have fulfilled its handover obligation once it has handed over the products ordered to the haulier, which has accepted them without reservation. Accordingly, the Buyer has no warranty claim against PRODEX in the event of lack of delivery of the Products ordered or of damage occurring during transport or unloading.
Consequently, the Buyer undertakes to insure the products ordered at its own expense and using ad hoc insurance, until transfer of ownership is complete.
ARTICLE 6 – PRODEX’s liability - Guarantee
The products delivered by PRODEX are covered by a guarantee against the products not complying with the order and against any hidden defect due to a material, design, or manufacturing defect that affects the products delivered and makes them unfit for use.
The guarantee forms an indivisible whole with the Product sold by PRODEX. The Product cannot be sold or re-sold in an altered, transformed, or modified state.
This guarantee is limited to replacing, or to making reimbursement for, products that are non- compliant or that are affected by a defect after prior acceptance by PRODEX.
Any guarantee is excluded if the Buyer supplies plans, dimensions, or measurements that are erroneous.
Similarly, the guarantee is excluded if the product is unsuited for manufacturing or for incorporation into a finished product. The Buyer bears sole liability for the use that it makes of the product after having become aware of the technical specifications supplied by PRODEX.
The guarantee cannot be invoked if the Products have been subjected to abnormal use, or if they have been used in conditions different from the ones for which they were manufactured, especially in the event of non-compliance with the conditions set out in the instructions for use.
In that regard, the Buyer is fully informed that the Product conditions of use indicated by PRODEX comply with standards applicable on the date of delivery of the Products, and that PRODEX cannot be held liable for a change in standards subsequent to that date.
PRODEX reserves the right to modify the Product’s components or elements based on its own constraints or needs.
The Client acknowledges being fully informed that the Products sold by PRODEX do not come under and are not covered by the ten-year guarantee set out in the provisions of the Civil Code.
In order to assert its rights, and on pain of forfeiture of any action relating thereto, the Buyer must inform PRODEX in writing of the existence of defects within a maximum of 48 hours of the defects being discovered.
PRODEX shall replace or shall have repaired the Products or parts that are under guarantee and that are deemed defective. The client shall remain liable for Product installation and removal costs.
The client shall remain liable for the cost of returning Products that are non-compliant or that have a defect.
ARTICLE 7 – Intellectual property
PRODEX retains all industrial-property rights and intellectual-property rights relating to Products, photos, and technical documentation, which cannot be passed on or implemented without its written authorisation.
Similarly, PRODEX shall be entitled to make free use of plans drawn up by or for the Buyer, unless otherwise agreed in writing.
If the Client supplies models, drawings, or design plans for tooling or for the Product, it must ensure that those items are free of all rights, and shall hold PRODEX safe from any third-party claims made in relation thereto.
PRODEX cannot be held liable for manufacturing and marketing by the client, which shall retain sole liability for its products’ compliance with standards and regulations, for manufacturing compliance, and for product marketing in its relationships with third parties. PRODEX cannot be held liable in all cases of parts being manufactured that may be protected by intellectual and industrial property, especially patented parts or trademarked models. The client shall bear sole liability in that regard, and undertakes to indemnify PRODEX for any third-party challenge.
ARTICLE 8 – Personal data
Pursuant to law 78-17 of 6 January 1978, as amended by law no. 2018-493 of 20 June 2018, it should be noted that individual-related data requested of the Client are necessary for processing the latter’s order and for drawing up invoices in particular.
Those data may be passed on to any PRODEX partners that may be tasked with executing, pro- cessing, managing, and paying for orders.
Processing information passed on via the website meets legal requirements relating to the protec- tion of personal data. The information system used provides optimum protection for those data.
Pursuant to national and European regulations in force, the Client has a permanent right of access, modification, rectification, objection, portability, and limitation of processing in relation to information that concern it.
That right can be exercised under the conditions and under the terms and conditions set out on the website.
ARTICLE 9 - Hardship
These General Terms and Conditions of Sale expressly exclude the legal regime of hardship set out in article 1195 of the Civil Code for all transactions involving Sale of Products by PRODEX to the Buyer. Accordingly, PRODEX and the Buyer each waives its entitlement to the provisions of article 1195 of the Civil Code and of the hardship regime set out therein. Each one undertakes to assume its obligations, even if the contractual balance is disturbed by circumstances that could not be foreseen at the time of concluding the sale and even if their execution proves onerous, and to bear all the economic and financial consequences thereof.
ARTICLE 10 – Plea for non-performance
It is recalled that pursuant to article 1219 of the Civil Code, each Party can refuse to perform its obligation, even if the latter is enforceable, if the other Party does not perform its obligation and if the latter non-performance is sufficiently serious, i.e. it is likely to call into question the continuation of the contract or fundamentally disturb its economic balance. Performance shall be suspended with immediate effect on receipt by the defaulting Party of the notification of breach addressed to it to that effect by the Party that is victim of the breach, indicating the intention to apply the plea for non- performance for as long as the defaulting Party has not remedied the breach identified. Notification shall take the form of a registered letter with a request for an acknowledgement of receipt, or any other durable written support that enables a proof of despatch to be obtained.
That plea for non-performance can also be used as a preventive measure pursuant to the provisions of article 1220 of the Civil Code, if it is manifest that one of the Parties shall not perform, by the deadline, the obligations that are incumbent upon it, and that the consequences of that non- performance are sufficiently serious for the Party that is the victim of the breach.
That entitlement is used at the risk of the Party that takes the initiative to act.
Performance shall be suspended with immediate effect on receipt of the allegedly defaulting Party of the intention to apply the plea for non-performance on a preventive basis, until the allegedly default- ing Party performs the obligation for which a future breach is manifest, notified by recorded letter with a request for an acknowledgement of receipt, or on any other durable written support that enables a proof of despatch to be obtained.
ARTICLE 11 - Force majeure
The Parties cannot be held liable if non-performance or delay in performance of any of their obliga- tions, as described in this document, is the result of a case of force majeure under the meaning of article 1218 of the Civil Code.
ARTICLE 12 - Disputes
All disputes that may arise from this contract in respect of its validity, interpretation, performance, and its termination, as well as the consequences and sequel thereof, shall be submitted to CHAR- TRES Court.
ARTICLE 13 – Applicable law – Language of the contract
The parties expressly agree that these General Terms and Conditions of Sale and the sale and purchase transactions that arise therefrom are governed by French law.
They are drafted in the French language. If they are translated into one or more languages, only the French text shall be authoritative in the event of a dispute.
ARTICLE 14 – Acceptance by the Buyer
These general terms and conditions of sale, as well as the attached tariffs and scales relating to discounts and rebates, are expressly approved and accepted by the Buyer, which declares and acknowledges having full knowledge thereof, and which, hence, waives its entitlement to any con- flicting document and, in particular, its own general terms and conditions of sale.
