WER IST ZUR TEILNAHME BERECHTIGT?
Sie sind ein berechtigter Mitarbeiter, wenn Sie vom Unternehmen oder einer Tochtergesellschaft des Unternehmens seit mindestens sechs Monaten fest („dauerhaft“) angestellt sind, bevor ein Beitragszeit- raum beginnt.

Am Ende des Anmeldezeitraums erhalten Sie von Shareworks eine Bestätigung, dass Ihre Anmeldung eingegangen ist.
WAS IST EIN BEITRAGSZEITRAUM?
Der Beitragszeitraum (in den Richtlinien des Plans auch Angebotszeitraum genannt) beläuft sich auf sechs Monate. Beitragszeiträume laufen vom:
• 1. September bis 28. Februar
(bzw. 29. Februar bei Schaltjahren); und
• 1. März bis 31. August
WIE HOCH DARF DER BEITRAG SEIN?
Bei Anmeldung darf der gewählte Betrag AUD 365 nicht unterschreiten und in einem Beitragszeitraum AUD 6.000 nicht übersteigen (bzw. Gegenwert Ihrer Landeswährung). Der gewählte Betrag darf
außerdem zu Beginn eines Beitragszeitraums nicht mehr als 20 % Ihres festen Bruttogehalts
ausmachen. In einigen Ländern gelten niedrigere Obergrenzen.
Die derzeitigen Unter- und Obergrenzen für Beiträge in Ihrer Landeswährung können der untenstehenden Tabelle entnommen werden. Die Grenzen für andere Währungen werden unter Berücksichtigung der jeweiligen Wechselkurse von Zeit zu Zeit angepasst.
Dieses Dokument ist eine Einladung von CSL Limited
(„CSL“ oder das "Unternehmen“) an berechtigte Mitarbeiter zum Erwerb von Stammaktien am Unternehmen („Aktien“) im Rahmen der Richtlinien des Globalen Mitarbeiter-Aktienplans von CSL Limited (der "Plan“) und der Konditionen in dieser
Angebotsübersicht (die "Übersicht“).
Unter- und Obergrenzen für Beiträge
11 Es ist zu beachten, dass in einigen Ländern gültige Beschränkungen bzgl. der Gesamtmenge an Lohn- und Gehaltsabzügen existieren, welche die Beitragszahlungen, die Sie im Plan machen können, weiter begrenzen können, z. B.:
• Argentinien - Abzüge dürfen 20% des monatlichen Bruttogehalts nicht übersteigen
• Brasilien - Abzüge dürfen 70% des monatlichen Gehalts nicht übersteigen
• Chile - Abzüge dürfen 15% der monatlichen Bruttovergütungen nicht übersteigen
• Mexiko - Abzüge dürfen 30% des Betrags nicht übersteigen, der über dem Mindestlohn am jeweiligen Wohnort liegt
• Polen - 80% des gesetzlichen monatlichen Mindestgehalts von Vollzeitbeschäftigten muss von Abzügen frei bleiben
• Slowakei - Abzüge dürfen nicht dazu führen, dass das verbleibende Gehalt eine bestimmte Unterschwelle unterschreitet (was von unterschiedlichen Faktoren abhängt)
Diese Beschränkungen müssen jedoch nicht zwangsläufig auf Gehaltsabzüge für diesen Plan zutreffen. Des Weiteren können die Beiträge je nach Entwicklung der örtlichen Gesetze und Interpretation Bestimmungen zum Mindestgehalt und zum Existenzminimum unterliegen und in anderen Ländern andere Beschränkungen Anwendung finden. In jedem Fall wird CSL den von Ihnen gewählten Beitrag reduzieren, falls der gewählte Beitragsbetrag über dem gesetzlich erlaubten Höchstbetrag liegen sollte. Dies erfolgt nach freiem Ermessen von CSL.

LOHNABZÜGE
Der von Ihnen gewählte Betrag (im Rahmen der Unter- und Obergrenzen für Beiträge) wird während des Beitragszeitraums jeweils zu gleichen Raten von Ihrem Nettogehalt (Bruttogehalt abzüglich
Einkommenssteuer und
Sozialversicherungsabgaben) am Tag dessen Auszahlung eingezogen.
CSL behält sich das Recht vor, den von Ihnen gewählten Beitrag vom Gehalt einseitig vor dem Beginn eines künftigen Beitragszeitraums zu mindern.
CSL mindert vor Beginn eines Beitragszeitraums den von Ihnen gewählten Beitrag vom Gehalt, wenn der gewählte Beitrag die Obergrenze übersteigt und/oder mehr als 20 % Ihres festen Bruttogehalts (Voll- oder Teilzeit) ausmacht. CSL wird den von Ihnen
gewählten Beitrag auch reduzieren, falls der gewählte Beitragsbetrag über dem gesetzlich erlaubten Höchstbetrag liegen sollte. Dies erfolgt nach freiem Ermessen von CSL.
HONGKONG UND PANAMA - ÜBERWEISUNG VON BEITRÄGEN
Da in Hongkong und Panama Einzüge von Gehaltszahlungen gesetzlich nicht zulässig sind, müssen Sie die Beiträge jeweils zum Zahltag gemäß der jeweils geltenden Bestimmungen desUnternehmens selbst von Ihrem Bankkonto aus überweisen.
WAS PASSIERT MIT MEINEN BEITRÄGEN?
Ihre Beiträge werden auf einem eigens dafür ange- legten Bankkonto treuhänderisch für Sie verwahrt (entweder das Konto von CSL Limited oder das in Australischen Dollars geführte Konto des Mitarbeiter- Aktienplans von CSL Limited). Die Gelder auf diesem Bankkonto können ausschließlich zum Erwerb von Aktien, für Rückerstattungen oder zum Begleichen von Nebenkosten, Steuern und Verbindlichkeiten genutzt werden.
Sofern nicht gesetzlich vorgeschrieben, erhalten Sie keine Zinsen auf Ihre Beiträge während diese auf dem Bankkonto sind. Sie können auch keine Beiträge vom Bankkonto abbuchen. Ihre Beiträge, die noch nicht zum Erwerb von Aktien genutzt wurden, werden
Ihnen jedoch im Falle eines Austritts aus dem Plan erstattet.
KANN ICH MEINE BEITRAGSZAHLUNGEN ÄNDERN?
Während eines Beitragszeitraums können Sie Ihre Beiträge vom Gehalt nicht ändern. Sie können den von Ihnen gewählten Beitrag vom Gehalt jedoch für künftige Beitragszeiträume während des
Anmeldezeitraums anpassen.
Ein Anmeldezeitraum beginnt etwa vier Wochen vor dem Start des Beitragszeitraums und endet etwa zwei Wochen vor dem Start des Beitragszeitraums.
Sollten Sie während eines Beitragszeitraums
unbezahlten Urlaub in Anspruch nehmen, können Sie trotzdem weiterhin am Plan teilnehmen und Aktien erhalten, gemäß der jeweils geltenden
Bestimmungen des Unternehmens und
vorausgesetzt, Ihre Beiträge liegen oberhalb der Untergrenze für Beitragszahlungen.
Über die Fristen künftiger Anmeldezeiträume werden Sie entweder vom Shareworks oder vom CSL Mitarbeiter-Aktienplan-Team informiert.
WIE VIELE AKTIEN ERHALTE ICH?
Die Anzahl der Aktien, die Sie erhalten, entspricht Ihren gesammelten Beiträgen für den Beitragszeit- raum geteilt durch den Ausgabepreis je Aktie.
Der Ausgabepreis je Aktie entspricht dem niedrigeren Wert der folgenden Angaben:
• 85% des Marktwerts der Aktie während der fünf Handelstage an der Australischen
Wertpapierbörse („ASX“), bis einschließlich zum ersten Tag des Beitragszeitraums; und
• 85% des Marktwerts der Aktie während der fünf Handelstage an der Australischen
Wertpapierbörse („ASX“), bis einschließlich zum letzten Tag des Beitragszeitraums.
Wenn Ihre Beiträge in einer anderen Währung als in Australischen Dollars erfolgen, werden Ihre
gesammelten Beiträge auf der Grundlage des zum Zeitpunkt der Aktienzuteilung ausgegebenen
Wechselkurses in Australische Dollars umgerechnet.
Es werden nur Beiträge verwendet, die für den Erwerb einer vollen Anzahl Aktien ausreichen.
Verbleibende Beiträge werden auf den nächsten Beitragszeitraum übertragen.
Die Aktien werden Ihnen innerhalb von zehn Werktagen nach dem letzten Tag des jeweiligen Beitragszeitraums ausgestellt. Sie müssen zum Zeitpunkt der Aktienzuteilung Mitarbeiter Ihres Unternehmens sein.
Beispiel (der Aktienpreis ist hypothetisch):
Herr Mustermann hat eine Beitragszahlung von AUD 3.500 für den sechsmonatigen
Beitragszeitraum festgelegt.
Am 1. September 2020 betrug der Marktwert einer CSL-Aktie AUD 240. Am 28. Februar 2021 betrug der Marktwert einer CSL-Aktie AUD 260.
Im Hinblick auf den am 28. Februar 2021 geendeten Beitragszeitraum, betrug der Ausgabepreis der Aktie auf dieser Grundlage AUD 204. Das entspricht dem Marktwert von AUD 240 (der geringere Marktwert) minus den Rabatt von 15%.
Herr Mustermann erhält 17 Aktien und bezahlt dafür AUD 3.468 (AUD 3.500 / AUD 204). Der verbleibende Betrag von AUD 32 wird auf den nächsten Beitragszeitraum gutgeschrieben.
WANN KANN ICH AUF MEINE AKTIEN ZUGREIFEN?
Die Aktien werden Ihnen als voll eingezahlte Stammaktien an CSL Limited innerhalb von zehn Werktagen nach Ende des jeweiligen
Beitragszeitraums ausgestellt.
Je nach gewähltem Angebot unterliegen die an Sie ausgegebenen Aktien einer Karenzzeit (der
„Veräußerungsfrist“) von entweder:
(i) einem Jahr; oder
(ii) drei Jahren bzw., falls dies eher eintritt, dem Ende Ihres Beschäftigungsverhältnisses mit CSL (Näheres hierzu siehe unten).
Die Veräußerungsfrist ist bedingt durch das bei Ihrer Anmeldung gewählte Angebot. Die Veräußerungsfrist für einen bestimmten Beitragszeitraum gilt für alle durch Beiträge während des gesamten
Beitragszeitraums erworbenen Aktien und kann nicht durch Sie abgeändert werden. Sie können jedoch für den nächsten Beitragszeitraum ein Angebot mit einer anderen Veräußerungsfrist wählen.
WAS PASSIERT WENN ICH DAS
BESCHÄFTIGUNGSVERHÄLTNIS BEENDE?
Wenn Sie Ihr Beschäftigungsverhältnis mit CSL (oder einer Tochtergesellschaft von CSL) aus irgendeinem Grund beenden, scheiden Sie automatisch im dann laufenden Beitragszeitraum aus dem Plan aus. Der Gesamtbetrag Ihrer Beiträge, der noch nicht zum Erwerb von Aktien genutzt wurde, wird Ihnen
erstattet. Alle Aktien, die an Sie ausgegeben wurden, unterliegen weiterhin den Konditionen der
Veräußerungsfrist, welche Sie bei Anmeldung gewählt haben.
Wenn Sie das Angebot mit einer Veräußerungsfrist von drei Jahren gewählt haben und nicht in Belgien, den Niederlanden oder in der Schweiz leben, erlischt diese Frist automatisch zum Zeitpunkt Ihrer
Beendigung des Beschäftigungsverhältnisses mit CSL oder einer Tochtergesellschaft von CSL.
Für Mitarbeiter, die in Belgien, den Niederlanden oder der Schweiz leben, besteht die
Veräußerungsfrist trotz Ihrer Beendigung des Beschäftigungsverhältnisses weiterhin fort.
KANN ICH AUS DEM PLAN AUSTRETEN?
Ja - Sie können jederzeit aus dem Plan austreten.
Melden Sie sich bei Ihrem Shareworks-Konto an und klicken Sie unter der Registerkarte "Portfolio" auf
"Aktienbeteiligungen verwalten". Auf dem nächsten Fenster klicken Sie auf "Beiträge einstellen". Am unteren Bildschirmrand erscheint eine Mitteilung, die bestätigt, dass Sie Ihren Beitrag storniert haben. Die gesamte Summe Ihrer derzeitigen Beiträge wird Ihnen erstattet. Da Aktien erst nach Ende eines Beitragszeitraums erworben werden, können Sie auch noch am letzten Tag des Beitragszeitraums aus dem Plan austreten. Alle gesammelten Beiträge dieses Beitragszeitraums werden Ihnen erstattet. Alle Aktien, die vorher im Plan an Sie ausgegeben
wurden, unterliegen weiterhin der Veräußerungsfrist des Angebots, welches Sie bei Anmeldung gewählt haben. Wenn Sie aus dem Plan austreten, können
Sie erst wieder am Plan teilnehmen, wenn Sie sich wieder während eines Anmeldezeitraumsvor dem Beginn des nächsten Beitragszeitraums
einschreiben.
ZUKÜNFTIGE BEITRAGSZEITRÄUME
Die Beiträge sowie die Veräußerungsfrist des Angebots, dass Sie für einen Beitragszeitraum gewählt haben, werden automatisch im nächsten Beitragszeitraum beibehalten. Sie haben jedoch die Möglichkeit, vor dem Beginn des nächstenBeitragszeitraums (während des Anmeldezeitraums) ein neues Angebot mit einer anderen
Veräußerungsfrist anzunehmen und die Beiträge innerhalb dieses Angebots zu ändern.
WIE KANN ICH MEINE AKTIEN VERKAUFEN?
Sobald eine Veräußerungsfrist verstrichen ist, können Sie Ihre Aktien jederzeit unter Einhaltung der Richtlinien zum Handel mit Wertpapieren der CSL Group und allen relevanten Beschränkungen für Insidergeschäfte und/oder Marktmissbrauchsgesetze Ihres Landes veräußern. Sie können auf Anfrage ein kostenloses Exemplar der Richtlinien zum Handel mit Wertpapieren der CSL Group über iNet oder vom askHR Service Center erhalten.
Sie können Ihre Aktien durch Shareworks („Plan Manager“) verkaufen lassen. Auf diese Verkäufe werden Verwaltungs- und Maklergebühren in Australischen Dollars (AUD) erhoben. Informationen finden Sie in der aktuellen
Finanzdienstleistungsübersicht (FSG) der
Shareworks, auf die Sie über Ihr Shareworks-Konto unter der Registerkarte "Dokumente" zugreifen können.
Die Nettoerlöse aus dem Verkauf Ihrer Aktien werden Ihnen möglicherweise in der Währung Ihres Landes überwiesen. Währungsumrechnungen werden vom Plan Manager unter Berücksichtigung des jeweils gültigen und von einer Großbank Australiens herausgegebenen Wechselkurses vorgenommen.
Für jede Aktienübertragung in das Hauptregister kann eine Verwaltungsgebühr anfallen, ungeachtet der Anzahl der transferierten Aktien.
Alternativ können Sie Ihre Aktien auch von Ihrem eigenen Broker verkaufen lassen. Sie müssen die
Aktien jedoch dem Hauptaktienregister des CSL übertragen. Für jede Aktienübertragung in das Hauptregister fällt eine Verwaltungsgebühr an, ungeachtet der Anzahl der transferierten Aktien.
Um Ihre Aktien über den Plan Manager zu verkaufen, müssen Sie die Transaktion über die Shareworks- Webseite oder die mobile App abschliessen.
RECHTE DES TEILNEHMERS
Der Plan wird „nach freiem Ermessen“ CSL angeboten. Bei Anmeldung und Teilnahme an diesem Plan erfolgen Ihre geleisteten Beiträge und Ihre Beteiligung an diesem Plan auf freiwilliger Basis.
Durch die Teilnahme am Plan stehen Ihnen keinerlei vertragliche oder sonstige Rechte zu, die Teilnahme auch nach Beschluss des Unternehmens, diesen Plan einzustellen, aufrechtzuerhalten oder an einem zukünftigen Angebot im Rahmen des Plans
teilzunehmen. Dies gilt auch für alle anderen Prämiensysteme, die das Unternehmen von Zeit zu Zeit betreibt.
Der Plan bildet keinen Vertrag oder einen Teil eines Vertrags zur Beschäftigung zwischen Ihnen und Ihrem Arbeitgeber bzw. zwischen Ihnen und dem CSL. Gewinne, die Sie durch die Teilnahme am Plan ggf. erhalten, gelten nicht als Vergütung oder als Vergütung für Zwecke wie zur Berechnung von Abfindungen, Zahlungen bei Rücktritt, Kündigung oder Entlassung, Einmalzahlungen nach Beendigung des Beschäftigungsverhältnisses, Prämien,
Urlaubsgeld, Zuwendungen für lange Betriebszugehörigkeit, Pensions- bzw.
Rentenzahlungen oder Sozialleistungen und vergleichbare obligatorische Zahlungen.
Wenn Ihr Beschäftigungsverhältnis mit CSL oder einer Tochtergesellschaft von CSL endet, stehen Ihnen keine Entschädigungen für den Verlust von Rechten oder Leistungen bzw. sich potenziell aus dem Plan ergebende Rechte oder Leistungen zu, auch nicht bei Schäden durch ungerechtfertigte oder falsche Entlassung, Vertragsbruch oder aus
sonstigen Gründen. Ihr Beschäftigungsverhältnis gilt im Sinne des Plans als beendet, wenn Sie Ihre Arbeit aktiv niederlegen und Ihre Anstellung nicht durch eine Kündigungsfrist vertraglicher Art, durch Freistellung oder ähnlicher Kündigungsfristen im
Arbeitsrecht (einschließlich des bürgerlichen Rechts, falls zutreffend) in der Gerichtsbarkeit Ihres
Beschäftigungsverhältnisses verlängert wird.
RECHTE DES AKTIONÄRS
Sobald Ihnen Aktien im Rahmen des Plans
ausgestellt wurden, haben Sie ggf. Anspruch auf den Bezug von Dividenden. Außerdem können Sie bei Aktionärsversammlungen abstimmen und an Ausgaben von Bonusaktien und
Bezugsrechtsemissionen von CSL teilhaben,
ungeachtet etwaiger Veräußerungsbeschränkungen.
DATENSCHUTZ
CSL Limited und die CSL Group erheben und verarbeiten Ihre personenbezogenen Daten nur zum Zweck der Durchführung und Verwaltung des Plans sowie sonst mit geltendem Recht vereinbar. Ihre personenbezogenen Daten werden möglicherweise auch an Dritte weitergegeben, z.B. dem Shareworks, den Aktienregistern, Druckereien, der Post sowie Regierungs- und Aufsichtsbehörden.
Durch Inanspruchnahme des Angebots, an diesem Plan teilzunehmen, stimmen sie der Erhebung, Verarbeitung und Übermittlung Ihrer
personenbezogenen Daten, wie weiterführend in den Globalen Mitarbeiter-Aktienplan AGBs beschrieben, zu.

By accepting this offer, you are instructing and authorising your employer to facilitate your
contributions to the Plan by collecting from your pay cheque each pay period the amount specified by you during the enrolment period. You acknowledge and agree that facilitating contributions in such manner does not constitute the withholding or loss of salary;
rather, your employer is operating pursuant to a direct instruction by you to make a
payment/contribution on your behalf after salary has been paid for the purpose of purchasing Shares pursuant to the terms of the Plan. You acknowledge that contributions will continue in the manner described above until you withdraw from the Plan or are no longer eligible to participate in the Plan. You understand that you may freely withdraw from participation in the Plan and receive a full refund of all voluntary contributions you have made under the Plan that have not been applied toward the purchase of Shares.

For purposes of the Plan, your employment will be considered terminated as of, and your right (if any) to participate in the Plan and purchase Shares will be measured by, the date that is the earliest of (i) the date your employment with your employer, a CSL subsidiary terminates, no matter how the termination arises, and (ii) the date you receive written notice of termination from the employer. In either case, the date shall exclude any period during which notice, pay in lieu of notice or related payments or damages are provided or required to be provided under local law. Notwithstanding the foregoing, if applicable employment standards legislation explicitly requires continued participation in the Plan during a statutory notice period, your right to participate in the Plan and purchase Shares, if any, will terminate effective upon the expiry of the minimum statutory notice period, but you will not earn or be entitled to pro-rata
participation if the Contribution Period End Date falls after the end of your statutory notice period, nor will you be entitled to any compensation for lost

Foreign Exchange Control Restriction If the registration of the Plan with the State
Administration of Foreign Exchange (“SAFE”) is not in effect as of any applicable date on which Shares are to be allocated to you, CSL may decide to delay the allocation of the Shares or refund any
accumulated payroll deductions to you in which case no Shares will be allocated to you. There may also be delays in receiving any funds related to the Plan (e.g., proceeds from the sale of Shares) during any period that the registration is not in effect. Neither CSL nor any of its affiliates will be liable to you in the event of any such delays or other actions.
You understand and agree that it is mandatory for you to sell the Shares through the Plan Manager and you cannot arrange a sale through any other
securities broker due to the foreign exchange
restrictions in China. The proceeds from the sale of Shares in AUD will be remitted to a designated foreign exchange bank account approved by the SAFE in China under CSL China’s name. The designated onshore bank will convert the proceeds into CNY upon the SAFE’s approval at the prevailing currency exchange rate at the time of conversion.
You also understand and agree that you are required to sell all CSL Shares within six months of cessation of employment with CSL or its affiliates to be in compliance with the requirements of the SAFE. In case the Shares are still in the disposal restriction period when there is a change of your employment status, CSL will accelerate the restriction period upon cessation of employment.
CSL may need to impose other requirements on your participation in the Plan and you agree to execute any other agreements or consent that may be required to facilitate compliance with foreign exchange control rules or administration of the Plan.

You understand and acknowledge that, pursuant to Article 128 of the Colombian Labor Code,
participation in the Plan and related benefits do not constitute a component of your “salary” for any legal purpose. Therefore, your participation in the Plan and the related benefits will not be included and/or considered for purposes of calculating any and all labor benefits, such as legal/fringe benefits,
vacations, indemnities, payroll taxes, social insurance contributions and/or any other labor-related amount which may be payable.

By accepting this offer, you acknowledge that, in addition to completing other procedures for enrolling in the Plan, you may be required to execute a payroll deduction authorization form and submit it to your local payroll representative in order to participate in the Plan. Further, you agree to execute any other agreements or consents that may be required to enable your employer, or any third party designated by your employer or the Company, to remit your accumulated payroll deductions to the Company for the purchase of Shares. You understand that if you fail to execute such a payroll deduction authorization form or any other form of agreement or consent that is required for the remittance of your payroll
deductions, you may not be able to participate in the Plan.
For Participants in South Korea
By accepting this offer, you acknowledge that, in addition to completing other procedures for enrolling in the Plan, you may be required to execute a power of attorney and submit it to your local payroll
representative in order to participate in the Plan.
Further, you agree to execute any other agreements or consents that may be required to enable your employer, or any third party designated by your employer or the Company, to remit your accumulated payroll deductions to the Company for the purchase of Shares. You understand and agree that termination of your employment for any reason (including the reasons
listed below) will automatically result in the loss of the right to participate in the Plan, as described in
Section 10 of the Rules of the Plan and in the Q&A on “What happens if I cease employment?” above in this Guide. In particular, you understand and agree that any right to participate in the Plan will be lost as of the date that you are no longer actively providing services to the Company or one of its subsidiaries and without entitlement to the underlying Shares or to any amount of indemnification in the event of a termination of your employment by reason of, but not limited to, death, disability, resignation, retirement, disciplinary dismissal adjudged to be with cause, disciplinary dismissal adjudged or recognised to be without cause, individual or collective dismissal on objective grounds, whether adjudged or recognised to be with or without cause, material modification of the terms of employment under Article 41 of the Workers’ Statute, relocation under Article 40 of the Workers’ Statute, Article 50 of the Workers’ Statute, unilateral withdrawal by the Employer and under Article 10.3 of the Royal Decree 1382/1985. You acknowledge that you have read and specifically accept the conditions referred to in Section 10 of the Rules of the Plan and the Q&A on “What happens if I cease employment?” above in this Guide.
Further, you understand that the Company has unilaterally, gratuitously and discretionally decided to offer the Plan to individuals who may be employees of the Company or its subsidiaries throughout the world. The decision is a limited decision that is entered into upon the express assumption and condition that any offer will not bind the Company or any of its subsidiaries. Consequently, you understand that the right to purchase Shares is offered on the assumption and condition that the right to purchase Shares and any Shares purchased under the Plan shall not become a part of any employment contract (either with the Company or any of its subsidiaries) and shall not be considered a mandatory benefit, salary for any purposes (including severance compensation) or any other right whatsoever. In addition, you understand that this offer would not be made to you but for the assumptions and conditions referred to above; thus, you acknowledge and freely accept that should any or all of the assumptions be
mistaken or should any of the conditions not be met for any reason, then the offer may be null and void.

For Participants in Switzerland
Neither this document nor any other offer materials (including marketing materials) related to the Plan (i) constitutes a prospectus according to articles 35 et seq. of the Swiss Federal Act on Financial Services (“FinSA”), (ii) may be publicly distributed nor otherwise made publicly available in Switzerland to any person other than an employee of Company or (iii) has been or will be filed with, approved or

The offer of participation in the Plan is not a public offer of securities by a Taiwanese company. The offer is available only for employees of the Company and its subsidiaries.
For Participants in Turkey
Under Turkish law, you are not permitted to sell any Shares acquired under the Plan in Turkey. The
Company’s ordinary shares are traded on the ASX, which is located outside of Turkey, and Shares acquired under the Plan may be sold on this exchange. Further, under Turkish law, any activity related to investments in publicly-traded foreign securities (e.g., the sale of Shares acquired under the Plan) must be conducted through a bank or financial intermediary institution licensed in Turkey. Therefore, you may be required to appoint a Turkish broker to assist you with the sale of the Shares acquired under the Plan.
For Participants in United Arab Emirates
The Plan is being offered to qualified employees and is in the nature of providing equity incentives to employees of the Group Company in the United Arab Emirates.
